1. About UNVL
UNVL Ltd is a UK-based wedding marketplace platform. We connect couples planning their weddings and commitment ceremonies with a curated community of UK wedding suppliers using intelligent, AI-powered systems:
- UNVL Match: Our core matching algorithm that analyses couples' style, budget, location, and specific needs alongside supplier profiles to create personalised, compatibility-based introductions
- UNVL Style: Visual intelligence that helps couples discover and define their wedding aesthetic through image analysis
- UNVL Assist: An AI planning advisor that provides couples with advice, inspiration, and guidance, powered partly by supplier expertise
- UNVL Budget: Budget allocation and tracking tools that help couples plan spending across supplier categories
- UNVL Select: Tools for couples to shortlist, compare, and book suppliers directly through the platform
These terms govern your use of our website, platform, apps, and all services we provide. By registering an account or using UNVL, you agree to these terms.
2. Accounts and Registration
2.1 Eligibility
Suppliers:
- You must be a legitimate, established wedding or events service provider operating in the UK
- You must be at least 18 years old
- You must have legal authority to enter into agreements
- You cannot have been banned or suspended from UNVL previously (without permission)
- Examples of eligible suppliers: venues, photographers, videographers, planners, caterers, florists, hair & makeup artists, DJs, musicians, celebrants, decorators, transport providers, and other wedding-related services
Couples:
- You must be at least 18 years old
- You should be genuinely planning a wedding or commitment ceremony
- You must have legal authority to enter into agreements
- One account per couple is encouraged; multiple personal accounts under one email are not permitted
2.2 Account Information
You're responsible for providing accurate, complete, and current information when you register. This includes your legal name(s), a valid email address, and for suppliers your business name, location, service category, and business details. You must keep your information up to date. Providing false information is a breach of these terms and may result in suspension or termination.
2.3 Account Security
You're responsible for maintaining the confidentiality of your password and login details. Use a strong, unique password, never share your login details, notify us immediately if you suspect unauthorised access, and accept responsibility for all activities under your account. We're not responsible for unauthorised access due to your negligence or failure to protect your credentials.
2.4 One Account Per Business/Couple
You may have only one active account per business entity or couple. If you operate multiple business entities, you need a separate account for each (and must pay separately). If we discover duplicate or fraudulent accounts, we may terminate all accounts associated with you.
3. Supplier Pricing and Payments
Pricing is straightforward and transparent. There are no hidden fees, booking commissions, or transaction charges.
3.1 Subscription Pricing by Tier
Suppliers pay a monthly subscription based on their service category:
Tier 3: £99/month , Venues
Tier 2: £49/month , Photographers, Videographers, Wedding Planners, Caterers, Florists, Bands & Musicians
Tier 1: £29/month , Hair Stylists, Makeup Artists, Celebrants, Cake Makers, DJs, Solo Musicians, Stationery
Post-Launch Categories (Not Yet Available): Marquees & Tipis, Content Creators, Transport, Styling & Hire, Performers & Acts, Photo Booths, Bridal Boutiques, Suit Shops. Suppliers in these categories can join the waitlist and will be notified when their category opens.
3.2 Payment Frequency Options
- Monthly: Full subscription rate, charged in advance each month
- Quarterly (3 months): 10% discount, charged in advance
- Annual (12 months): 25% discount, charged in advance
Discounts are applied automatically when you select the frequency. You can change your frequency anytime, but changes take effect on your next renewal date.
3.3 Multi-Service Suppliers
If you offer services across multiple categories, you can add a secondary category to your account. Only certain category combinations are permitted (for example photography + videography, hair + makeup). Each additional category costs £19/month.
3.4 Founding Member Rates
Founding member pricing is a limited launch offer, available to up to the first 50 paid suppliers in each category, allocated in order of joining. Once a category's founding places are filled, the offer closes for that category. Eligible founding suppliers receive:
- Annual: 50% off
- Quarterly: 40% off
- Monthly: 30% off
Your founding discount percentage is locked for the life of your subscription. Founding discounts are applied as a percentage of the base price. If UNVL adjusts the base price in future under Section 3.10, your discount percentage stays the same, so the amount you pay may change while your discount does not.
Founding Member Badge: Your profile displays a "Founding Member" badge, visible to couples.
Important: If you cancel your subscription, your founding member rate is lost. If you rejoin within 30 days, your rate is restored. After 30 days, standard rates apply. Founding member rates are non-transferable and tied to your specific account.
3.4A Founder Selection and Your Deposit
Founding member rates are offered by selection. You pay nothing unless you are approved for a founding place in your category and choose to accept it.
(a) Amount. The deposit equals one billing cycle at your founding rate (for example one month, one quarter or one year at the founder price for your category), shown to you before you pay. If you add a second category, the deposit includes that too.
(b) When it is taken. The deposit is taken when you accept your founding offer. Your card is securely authorised at the same time so that your subscription can start automatically on our launch date without further action from you.
(c) What it covers. Your deposit is held as credit on your account and applied to your first subscription bill on the contracted launch date. Your founding discount percentage then locks for the life of your subscription (see Section 3.4). Until launch day your subscription does not run and no further charge is taken.
(d) If a place is no longer available. If your category fills before your payment completes, we refund your deposit in full and let you know.
(e) Refunds. You can cancel and receive a full refund of your deposit at any time before the launch date. If you cancel within 14 days after launch, we refund the unused part of your current billing period. After that, cancellation takes effect at the end of your paid period and earlier periods are not refunded (see Sections 3.9 and 11.3).
(f) Keeping your founding rate. Your founding rate depends on a continuous subscription. If you cancel, your founding rate ends; if you rejoin within 30 days it is restored, and after 30 days standard rates apply (see Sections 3.4 and 11.4).
Your deposit is only ever an advance payment for your own UNVL subscription. We do not hold it on behalf of anyone else.
3.5 Ambassador Suppliers
Ambassador suppliers invited during the pre-launch period receive a free subscription for the duration outlined in their individual ambassador agreement. Ambassador terms take precedence over standard pricing.
3.6 Couple Accounts: Core Features Free
Couples can use UNVL's core planning features, including matching, messaging, Budget and a free allowance of UNVL Assist, at no cost. Some optional couple features are paid (UNVL Plus and credit packs that add Assist usage), and couples are only charged if they choose to buy them. Importantly for you: couples never pay you a fee through UNVL, and UNVL never takes a commission or booking fee on the work couples book with you (see Section 3.7).
3.7 NO Booking Fees, NO Commissions, EVER
- You pay a flat monthly/quarterly/annual subscription fee
- You keep 100% of any fees or payments from couples who book you through UNVL
- We don't take a cut of bookings, invoices, or payments
- There are no hidden transaction fees or "booking fees" ever
- Whether you book 0 couples or 100 couples, your subscription cost is the same
3.8 Payment Processing
All payments are processed securely by Stripe, a PCI-compliant payment processor. We don't store your card details. Payments are processed in GBP (£). Your first payment will be charged when your account is activated. For founding members, billing follows Section 3.4A: your deposit is taken when you accept your founding offer and is applied to your first bill on the launch date.
3.9 Payment Terms
- Subscriptions are charged in advance (before the subscription period begins)
- Invoices are automatically sent to your registered email
- Payment failures: if a payment fails, we'll retry within 3 to 5 business days and notify you. Continued failure may result in account suspension
- No refunds for partial periods. If you cancel mid-period, your account remains active until the end of the paid period, but no prorated refunds are issued
- Cancellations take effect at the end of your current billing period
3.10 Price Changes
UNVL may adjust pricing with 30 days' notice. Changes apply to new subscribers or at your next renewal date. Your continued use after notice means acceptance.
4. Platform Rules and Conduct
4.1 Your Responsibilities
By using UNVL, you agree to:
Be Honest: Provide accurate information about yourself, your business, services, and experience. Don't misrepresent qualifications, availability, pricing, or credentials. Don't post fake reviews, testimonials, or portfolio content. Don't impersonate anyone.
Behave Professionally: Communicate respectfully. No harassment, abuse, discrimination, or threatening language. No spam, unsolicited bulk messaging, or scams.
Respect the Platform: Don't attempt to circumvent the platform or take conversations off-platform to bypass features. Don't scrape, copy, or reproduce platform content. Don't reverse-engineer or attempt to access our algorithms or systems. Don't use automated bots to artificially inflate visibility. Don't attempt to extract, reverse-engineer, or reconstruct UNVL's matching algorithms, scoring systems, or AI models from any data provided through the platform.
Protect Intellectual Property: Only upload portfolio content you own or have the legal right to use. Give credit to photographers and other creatives whose work you feature. Don't upload copyrighted material without permission. All content must represent work you've genuinely completed.
Follow the Law: Don't use UNVL for illegal activities. Comply with all applicable UK laws and regulations. Don't facilitate fraud, money laundering, or other crimes.
4.2 Prohibited Content
You cannot post, upload, or share: illegal content; hate speech, discrimination, or threats; graphic violence or explicit sexual content; content that infringes others' intellectual property; misleading or deceptive information; or personal information of others without consent.
4.3 Our Right to Moderate
UNVL reserves the right to review content for compliance, remove content that violates our policies, suspend or terminate accounts that violate these terms, investigate complaints, and take legal action if necessary. We're not responsible for user-generated content, but we'll take action when we become aware of breaches.
4.4 Reviews and Ratings
Self-entered reviews. Any reviews, testimonials, or client quotes you add to your profile must be genuine, accurate, and from real clients, and you must be able to provide evidence that they are authentic if we ask. Posting fake, incentivised, or misrepresented reviews is prohibited (see Section 4.1) and may breach the Digital Markets, Competition and Consumers Act 2024.
Third-party ratings. Where your profile displays a star rating and review count associated with a third-party platform (such as Google), you are responsible for ensuring that figure is accurate and current, and you authorise UNVL to verify it, including by requiring you to provide evidence (such as a link to the source listing) before it is shown or updated.
Keeping ratings honest. UNVL takes reasonable and proportionate steps to keep displayed ratings and reviews accurate. Anyone who believes a review or rating shown on UNVL is inaccurate or fake can report it to legal@unvl.co, and we will assess it and, where appropriate, correct or remove it.
5. Visibility, Matching, and Promotion
5.1 Merit-Based Matching , Ranking Parameters
UNVL Match is our core technology. Visibility is determined by compatibility with couples' needs, not by subscription price. In line with the Platform-to-Business Regulation, we set out here the main parameters that determine how suppliers are matched and ordered for a couple.
The main ranking parameters are:
- Compatibility with the couple's stated style, specific requirements, budget, and location
- Supplier profile completeness and quality (including reviews and booking history)
- Recent activity and response time
Relative importance: in general, compatibility with the couple's needs carries the most weight, followed by profile completeness and quality, then recent activity and responsiveness. All suppliers have equal opportunity to be matched regardless of tier; a Tier 1 supplier has the same matching opportunity as a venue, all else being equal. We do not disclose the precise weightings or the underlying models, both to protect our intellectual property and to keep matching fair and resistant to manipulation.
5.2 No Pay-for-Placement
UNVL does not offer promoted or "featured" listings that cost extra, boost features, paid advertising placements within the platform, or any option to pay more to appear higher in results. Your visibility depends on profile quality and compatibility, not on spending more.
5.3 Profile Completeness and Quality
To maximise visibility, ensure your profile is complete (all fields filled), professional (high-quality images, clear descriptions), honest (accurate pricing, realistic availability), and active (regular updates, prompt responses).
6. UNVL Assist and Supplier Expertise
UNVL Assist is our AI-powered planning tool that provides couples with advice, inspiration, and guidance.
6.1 How Your Expertise Is Used
Supplier knowledge and expertise, drawn from profile content, advice you've shared, or publicly available information, may be used to inform suggestions and advice provided through UNVL Assist. Examples: "As photographer Sarah Jones recommends, golden hour provides the most beautiful natural light." "Florist Tom's tip: consider seasonal blooms for cost savings and sustainability."
6.2 Attribution
When your specific expertise is referenced in UNVL Assist advice, you'll be credited by name. This promotes your knowledge and business to couples planning their weddings.
6.3 Your Consent
By registering as a supplier, you consent to your expertise being used in UNVL Assist. This is a core feature of the platform and a key benefit to suppliers. Voice answers, transcripts and written responses you submit for UNVL Assist are also governed by the Supplier Content Licence Agreement.
6.4 Opting Out
If you prefer not to have your expertise used, contact legal@unvl.co. Note that opting out may reduce your visibility on the platform.
6.5 Style Tags and Self-Description
When you select style tags or write a style description during onboarding, this information is used by UNVL Match to improve compatibility scoring and by UNVL Assist to provide couples with accurate descriptions of your work. You can update your style tags anytime from your profile.
7. Intellectual Property
7.1 UNVL's IP
UNVL owns all intellectual property related to the platform: website design and layout, software code and technology, algorithms and systems (UNVL Match, Style, Assist), logos, branding, copy, and databases and content compilations. You may use UNVL only as permitted by these terms. You don't own or have rights to any proprietary systems or technology.
7.2 Your Content
You retain ownership of content you create and upload (portfolio images, service descriptions, reviews). By uploading content to UNVL, you grant us:
- Display Licence: The right to display your content on the platform to help couples find and learn about you
- Marketing Licence: The right to use your content in UNVL's marketing (website, social media, ads) with clear attribution
- Derivative Works: The right to display, format, or optimise your content for different devices
This licence is perpetual (lasts as long as the content is on our platform) and worldwide.
Website import. During onboarding, where you provide your website address and confirm the import, you authorise UNVL to copy content from that website (such as service descriptions and portfolio images) into your draft profile for you to review and edit before it is published. Imported content is treated as your content under this Section 7, and the warranties in Sections 7.3 and 7.4 apply to it as they do to content you upload directly.
7.3 Rights to Content
You warrant (promise) that you own or have the legal right to use all content you upload or import, that you have permission from anyone featured in photos, that your content doesn't infringe third-party intellectual property, and that you've given appropriate credit to photographers, designers, or other creators. If you upload or import content you don't have rights to, you're liable for any infringement claims.
7.4 Third-Party Content
If you use third-party content in your portfolio (for example hiring a photographer and using their images), you must have a licence or agreement allowing you to use and share that content on UNVL. Get it in writing.
8. Disclaimers and Limitations
8.1 Platform Provided "As Is"
UNVL is provided "as is" and "as available" without warranties. We don't guarantee uninterrupted operation or uptime (though we aim for 99.9% availability), specific results or outcomes, compatibility between couples and suppliers, quality or professionalism of suppliers or couples, or that using UNVL will result in bookings.
8.2 UNVL Is Not a Party to Agreements
UNVL facilitates connections between couples and suppliers, but we're not party to any service agreements between suppliers and couples, responsible for disputes, cancellations, or refunds between users, liable for the quality, conduct, or reliability of suppliers or couples, or an employment agency or representative of either party. Any agreements you make with couples or other suppliers are between you directly.
8.3 No Guarantees
We don't guarantee that AI matching will be perfectly accurate, that couples will respond to your profile, that you'll receive bookings, or that other users will behave professionally or legally.
8.4 Scheduled Downtime
UNVL may have scheduled maintenance, updates, or downtime. We'll aim to notify you in advance, but downtime may occasionally occur without notice.
8.5 User Conduct
UNVL is not responsible for the conduct, content, or statements of other users. If you experience harassment, fraud, or other misconduct from another user, report it to legal@unvl.co.
9. Limitation of Liability
9.1 Maximum Liability
UNVL's total liability to you (whether for breach of contract, negligence, or other cause) is limited to the amount you've paid to UNVL in the 12 months preceding the claim. For example, if you've paid £600 in the past year, our maximum liability is £600.
9.2 No Liability for Indirect Damages
UNVL is not liable for lost profits or revenue, lost business opportunities or contracts, lost data or information, reputational harm or loss of goodwill, indirect, incidental, or consequential damages, or damages arising from your use of the platform or your interactions with other users, even if we've been advised of the possibility of such damages.
9.3 Your Responsibility
You're responsible for your own business decisions, verification of information about suppliers or couples, compliance with applicable laws, backing up your data, and protecting your account security.
9.4 Liabilities We Do Not Exclude
Nothing in these terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded under English law.
10. Disputes Between Users
10.1 User-to-User Disputes Are Your Responsibility
If you have a dispute with a couple (non-payment, cancellation, quality issues) or another supplier, that's between you. UNVL can help facilitate communication but isn't responsible for resolving the dispute.
10.2 How UNVL Can Help
We can provide contact information so you can communicate directly, help clarify messages, mediate if you request it (at our discretion), and provide information if legal action becomes necessary. We can't enforce payment or service agreements, refund money or reverse transactions, act as arbitrator in binding disputes, or resolve disputes by refunding your subscription.
10.3 Legal Disputes
If a dispute escalates to legal action, you may pursue it through the English courts (see Section 14, Governing Law). UNVL isn't a party to user-to-user disputes unless we're directly involved.
11. Account Termination and Cancellation
11.1 You Can Cancel Anytime
You may cancel your subscription anytime with no minimum commitment. Cancellation is immediate or at the end of your current billing period (your choice, stated at cancellation). To cancel: Log into your account, visit Settings > Billing, and select "Cancel Subscription." You'll be asked to confirm.
11.2 What Happens When You Cancel
- Your profile is removed from the couples' search within 48 hours
- Any active conversations or bookings remain in your account for reference (archived)
- Your data is retained as described in the Privacy Policy
- You lose access to UNVL tools and features
11.3 No Refunds for Unused Time
If you've paid for a month, quarter, or year and cancel mid-period, no refund is issued. Your subscription remains active until the end of the paid period. For example, if you pay £49 for a month on the 1st and cancel on the 15th, you're not refunded for the remaining days.
11.4 Founding Member Discounts and Cancellation
If you cancel and later rejoin: if you rejoin within 30 days, your founding member rate applies; if you rejoin after 30 days, your founding member status is lost, and you'll pay standard rates.
12. UNVL's Right to Terminate or Suspend
12.1 Termination for Violations
UNVL may suspend or terminate your account immediately if you violate these terms (false information, harassment, fraud), engage in illegal activity, fail to pay your subscription (after 30 days of notice and failed retry attempts), repeatedly breach our conduct standards, or are discovered to be underage or not eligible.
12.2 Termination for Inactivity
UNVL may terminate accounts inactive for 12+ months after giving notice.
12.3 Your Obligations Upon Termination
Return or delete any UNVL proprietary material, cease using UNVL immediately, and pay any outstanding amounts owed.
12.4 Survival
Some terms survive termination: limitations of liability, IP provisions, and governing law.
13. Changes to These Terms
UNVL may update these terms from time to time. We'll notify you of material changes by sending an email to your registered address, posting a notice on the platform, and requiring you to accept updated terms before continuing to use UNVL.
Material changes include changes to pricing, payment terms, core features, or liability limits. Minor changes (clarifications, links, formatting) may not require notice. Your continued use of UNVL after notice of changes means you accept the updated terms.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These terms are governed by the laws of England and Wales. The English courts have exclusive jurisdiction for any disputes.
14.2 Jurisdiction
Both parties agree to the exclusive jurisdiction of the courts of England and Wales. You can't pursue disputes in any other jurisdiction.
14.3 Informal Resolution
Before pursuing legal action, try to resolve issues informally by contacting legal@unvl.co with a detailed description of the dispute. We'll respond within 14 days.
15. Miscellaneous
15.1 Entire Agreement
These terms (along with our Privacy Policy and, where you contribute content to UNVL Assist, the Supplier Content Licence Agreement) constitute the entire agreement between you and UNVL regarding your use of the platform. They supersede any previous agreements or understandings.
15.2 Severability
If any part of these terms is found invalid or unenforceable, the remaining terms continue in full force.
15.3 Waiver
If UNVL doesn't enforce a term, that doesn't mean we've waived it. We can enforce it anytime.
15.4 Assignment
You can't assign these terms or your rights/obligations under them to anyone else without UNVL's written consent. UNVL may assign these terms to another company in the event of merger or acquisition.
15.5 No Third-Party Beneficiaries
These terms are between you and UNVL. Third parties have no rights under these terms.
